This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and LongevityOS ("Licensor") governing your use of the LongevityOS WordPress theme ("Software"). By purchasing, downloading, or installing the Software, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms of this Agreement and payment of the applicable license fee, Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software as follows:

Single Site License — $129/year

• Install and activate the Software on one (1) production WordPress installation
• Use the Software to build and operate one client-facing website

Developer License — $249/year

• Install and activate the Software on up to five (5) production WordPress installations
• Use the Software to build and operate up to five client-facing websites
• Apply custom branding to the Software when delivering sites to clients (whitelabeling)
• Access developer source files (SCSS) for advanced customization

Permitted Environments (All Licenses)

Local development environments (e.g., Local by Flywheel, MAMP) and staging environments used for testing do not count toward your licensed site limit.

2. License Term and Renewal

This license is granted on an annual subscription basis. Your license is active for 12 months from the date of purchase.

• Updates: You will receive all theme updates released during your active license period
• Support: Email support is included during your active license period
• Renewal: Your license will automatically renew annually unless cancelled before the renewal date through your LemonSqueezy account dashboard
• Expiry: If you choose not to renew, you may continue to use the last version of the theme you downloaded, but you will no longer receive updates or support

3. Restrictions

You may not, under any circumstances:

• Redistribute or resell the Software, theme files, or any portion thereof to third parties as a standalone product
• Share your license key with individuals or organizations outside your own business
• Transfer your license to another party without prior written consent from LongevityOS
• Remove or modify copyright notices, license references, or author attribution in the theme source files
• Sublicense the Software to any third party
• Use the Software to create a competing WordPress theme product
• Claim authorship of the Software itself or represent it as your own original work

Agency and Freelancer Use

Developers and agencies may use the Developer License to build sites for clients. In this case:

• The Software is installed on the client's WordPress installation
• The client does not receive a copy of the theme files to redistribute independently
• Each client site counts as one of your five licensed installations

4. Ownership and Intellectual Property

The Software, including all source code, design assets, documentation, and associated materials, remains the exclusive intellectual property of LongevityOS. This Agreement grants you a license to use the Software — it does not transfer ownership.

Third-party open-source components included in the Software (such as WordPress block editor integrations and JavaScript libraries) are subject to their respective open-source licenses, which are documented within the Software files.

Your content — text, images, and data you add to a website built with LongevityOS — remains your property.

5. Updates and Modifications

Updates provided by Licensor: During your active license period, you are entitled to all theme updates released by LongevityOS. Updates are delivered through your LemonSqueezy account.

Modifications by Licensee: You may modify the Software's code and design for your own use or for client sites under the Developer License. However:

• Modified versions of the Software may not be redistributed
• LongevityOS is not obligated to provide support for sites running heavily modified versions of the Software
• Modifications do not affect Licensor's ownership of the original Software

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM VULNERABILITIES.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LICENSOR'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID FOR YOUR LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Termination

This license is effective until terminated. LongevityOS may terminate this Agreement immediately and without notice if you breach any of its terms.

Upon termination:

• You must cease all use of the Software
• You must delete all copies of the Software from your systems
• Any sites already built and deployed with the Software may remain live, but you will receive no further updates or support

You may also terminate this Agreement at any time by cancelling your license renewal and ceasing use of the Software. Termination does not entitle you to a refund except as provided under our Refund Policy.

9. License Verification

LongevityOS may use license verification mechanisms to confirm active license status. By using the Software, you agree that it may communicate with LongevityOS servers for the purpose of license verification. No personal data beyond your license key is transmitted during this process.

10. Governing Law

This Agreement is governed by the laws of the State of Georgia, United States. Any disputes arising from this Agreement shall be resolved in the courts of Georgia.

11. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy at longevityostheme.com, constitutes the entire agreement between you and LongevityOS regarding the Software and supersedes all prior agreements or understandings.
